EXTRAORDINARY GENERAL MEETING

PROPOSAL TO CHANGE OUR LEGAL STATUS

All Members of the Society are invited to a face-to-face Extraordinary General Meeting on Monday 13th December 2021 at 7:30pm in the Oak Room of Castle Green Hotel Business Centre, Castle Green Lane, Kendal, LA9 6RG.

The Lakeland Sinfonia Concert Society is UK charity number 505373. In legal terms it is ‘unincorporated’, which means that all responsibilities and financial liabilities are borne by the Trustees personally, and not by the charity. There are seven Trustees currently, and they jointly and severally have unlimited personal liability for any debts or other consequences of the Society’s work. Fortunately, the Society is in a reasonably strong financial position. However, we are facing unprecedented new risks as the pandemic abates, and our current ‘unincorporated’ legal status has become an unwelcome and unnecessary constraint on both retaining the existing Trustees and to recruiting new ones.

In 2011 the government introduced new rules for charitable organisations, which remove the unlimited personal liability from Trustees, and give a charity a formal legal status of its own. In particular, the government introduced a type of charity known as a ‘Charitable Incorporated Organisation’ (CIO); very many charities have successfully restructured themselves into CIOs since then.

The Trustees of the Lakeland Sinfonia Concert Society are now seeking the Members’ endorsement of the principle of restructuring the legal basis of the Society. This will NOT change our objectives as a charity, and will significantly IMPROVE the chances of the live classical orchestral concerts, and the Lakeland Sinfonia, continuing for many years to come, by making it easier to attract and retain a management team. Current Members will continue to have a say in the running of the new charity, and will continue to have voting rights.
